British AI neocloud Nscale has secured $3.36 billion in financing ahead of its IPO later this year, the company announced on Friday. The money comes in the form of a convertible note, meaning the investors who put in the cash will eventually trade it for shares in the company once the stock starts trading publicly.

The round is led by hedge fund Third Point, and it breaks down into two parts. Nscale gets $2.36 billion immediately, plus an extra $1 billion coming from Nvidia, the existing investor that already owns a stake in the company. Nvidia’s $1 billion will arrive in mid-November.

Who Is Behind the Financing

Third Point leads the round. Nvidia is contributing alongside, bringing its existing stake in the company to the deal. The notes will convert into equity shares once the IPO is completed.

What Nscale Actually Does

Nscale is a British neocloud. The business was spun out of Australian cryptocurrency mining company Arkon Energy two years ago.

Since then, Nscale has amassed over $103 billion worth of contracts, according to its IPO filing. The company is currently developing several large data center campuses, including locations in Norway and West Virginia.

The Numbers Behind the Deal

  1. $3.36 billion total raised — the headline number from the convertible financing.
  2. $2.36 billion available immediately — what Nscale gets from the Third Point-led round.
  3. $1 billion from Nvidia — the contribution from the existing investor, arriving in mid-November.
  4. $35 billion valuation — what Nscale is expected to be worth on the NYSE, per Financial Times.
  5. $3 billion raised in the offering — the amount Nscale is seeking, according to Bloomberg.

Why the NYSE Matters

The $35 billion valuation puts Nscale in a position few companies reach before their stock trades publicly. That figure comes from Financial Times, which reported the expected valuation on the NYSE.

The NYSE listing is where the market will judge whether Nscale’s contract backlog and campus development justify that number. For now, the company has secured the funding it needs to build out its data centers.

The Path From Mining to Data Centers

Nscale’s journey from a cryptocurrency mining company to an AI neocloud is an unusual one. The company spun out of Arkon Energy two years ago, and since then it has moved into data center infrastructure.

The $103 billion in contracts suggest Nscale has commitments from customers willing to pay for its services. The company is developing multiple campuses in Norway and West Virginia.

The financing closes ahead of the IPO, with the $2.36 billion available immediately and the $1 billion from Nvidia arriving in mid-November. Once the IPO is completed, those notes will convert into equity shares.

Nscale’s reported valuation of $35 billion is significant. The company has secured $3.36 billion in convertible financing ahead of its IPO, and it was spun out of a cryptocurrency mining company before pivoting to AI data centers.

The company’s next test will come when the stock starts trading on the NYSE.
