Artemis Wins Rights to Mt Todd Gold Mine in $158.2M Vista Gold Deal

Vista Gold Corp. (NYSEAMERICAN:VGZ) has entered into a deal to be taken over by Artemis Gold Inc. (TSXV:ARTG). The arrangement calls for shareholders to receive 0.0966 buyer common shares for each VGZ common share they hold, granting them approximately 5% ownership of the combined entity. Artemis currently owns a 4.95% stake in VGZ, which it intends to cancel at closing.

The real issue concerns whether the merged company can finance the building of Australia’s Mt Todd gold project.

The deal’s financial position

Vista Gold ended June 2026 with $49.5 million in cash and no debt. Management said that cash is enough for interim development objectives. Joining an operating producer could broaden resources for the much larger construction task.

The purchase does not call for any money to be paid or fresh debt to be taken on. Artemis’s balance sheet stays flexible, since no new debt is needed.

While they wait for Mt Todd to come online, shareholders stand to gain exposure to operating cash flows. Should Blackwater’s expansions pan out as expected, the combined business may be able to fund its development with less reliance on a separate project-financing package.
